Professional Terms and Conditions
These are the rules for a Hydronate professional account: what you can charge, where you can sell, how orders and returns work, and what ends the account. It is a commercial agreement between two businesses, so it is shorter and blunter than our consumer terms. The three sections that actually get accounts closed sit in highlighted boxes.
What you are agreeing to, in eight lines

1Who this agreement is between
These Professional Terms and Conditions are an agreement between you — the practice or practitioner approved into the Hydronate Hydronate Professional — and Hydronate LLC, a Wyoming limited liability company, 140 East Broadway Ave #25, Jackson, WY 83001.
They apply to every order you place through a professional account. They sit on top of our general Terms of Service: where the two conflict, these practitioner terms govern your wholesale orders, and the Terms of Service govern everything else about using the site.
2Who is eligible
The program is open to practitioners holding a current, unrestricted license or credential in one of these fields: chiropractic, medicine (MD or DO), naturopathic medicine, nurse practitioner, physician assistant, acupuncture, or registered dietitian. We consider other licensed clinical professions case by case.
We may verify a credential against the issuing board's public directory before opening an account, and we may re-verify at any time. Giving us a license number you are not entitled to use is a material breach and we will close the account. We also open accounts for wellness studios, gyms, spas and retail locations that sell from their own premises or their own website. General e-commerce sellers and marketplace sellers are not eligible.
We may decline any application, for any lawful reason, without giving a reason.
3Your account
Once your credential clears we create a company account for your practice and send a login invite to the contact you named. Keep your login details private and tell us promptly if you think someone else has them.
You are responsible for everything ordered through your account. If your license lapses, is suspended, or is restricted, tell us within ten days — we will suspend the account until it is current again.
4Minimums, increments and how volume pricing is calculated
The minimum order is 12 boxes, and that applies to your opening order and to every reorder. Boxes are ordered in increments of one.
Volume pricing is calculated per product, not across your whole order. Twelve boxes of one flavor and twelve of another qualifies each line at the 12-box tier — it does not combine into a 24-box tier. If you want the deeper tier, concentrate the quantity on a single product. We would rather say this plainly here than have you discover it at checkout.
5Pricing
Your prices are the ones shown in your account when you are signed in. Prices are per box and exclude tax and shipping. We will send you a written price sheet if you ask for one.
We can change prices with thirty days' notice by email. The price shown at the moment you place an order is the price for that order. Nothing in this agreement obliges us to match a price we have offered to anyone else.

6Payment
Payment is due in full at checkout. We do not offer net terms, invoicing, purchase orders, or consignment, and we are not able to make exceptions to this at any volume.
7Shipping and delivery
Shipping within the United States is free on every order. Expedited shipping, if we offer it, is charged at cost.
Delivery dates are estimates, not guarantees. Title and risk of loss pass to you on delivery.
Check every shipment on arrival. Report a shortage, a damaged carton, or an incorrect item within seven days of delivery and we will make it right. After seven days we may not be able to.
8Tax and resale certificates
Orders are taxed by default according to the shipping destination.
We remove tax from a location only after a valid, current resale certificate for that state is on file for it. You are responsible for the accuracy of any certificate you give us and for telling us when it expires or stops applying. If a certificate turns out to be invalid, you are responsible for the tax that should have been charged.
9Minimum advertised price
You may not advertise Hydronate below $34.99 per box.
This applies to any price you display publicly — your website, an online store, printed materials, email, paid advertising, social media, or a price shown to the general public rather than to a patient in front of you. It includes the effective price after any coupon, bundle, or automatic discount you apply.
This is a restriction on the price you advertise, not on the price you charge. You remain free to set your own selling price, including below this figure, as long as that price is not advertised publicly. Prices communicated privately to your own patients are not advertising.
We treat a MAP breach seriously: first instance is a written warning, second is suspension, third is termination.
10Where you may resell
You may sell Hydronate in your own practice and on your own practice website.
You may not list or sell Hydronate on Amazon, Walmart Marketplace, eBay, Faire, or any other third-party marketplace, reseller platform, group-buying site, or auction site, whether under your own name or another. You may not supply Hydronate to anyone else for resale, including other practices, distributors, or wholesalers.
Product ordered on a professional account is for your practice and its patients. Diverting it into any other channel is a material breach and we will close the account on the first instance, without warning.
11No exclusivity and no territory
Your account is non-exclusive. We sell directly to consumers on hydronate.com, and we may approve other practitioners in your city, your building, or your specialty. Nothing in this agreement grants you a territory, a category, or a right of first refusal, and we are not obliged to tell you who else we have approved.
12Product condition, storage and handling
Sell only authentic Hydronate obtained directly from us, in its original sealed packaging, within its printed expiry date.
Do not repackage, relabel, decant, split, rebrand, or alter the product or its packaging in any way, and do not remove or obscure lot codes or expiry dates. Store it as the label directs. If you cannot store it that way, do not stock it.
13Claims, marketing and what you may say
Hydronate is a dietary supplement, not a drug. You may not market it as though it treats, prevents, cures, mitigates, or diagnoses any disease, and you may not represent that it has been approved by any government agency.
You are responsible for everything you say about the product in your own materials, in your practice, and to your patients, including anything a member of your staff says. We can give you our approved copy and the clinical packet — using them is not a substitute for your own professional judgment about what is appropriate to tell a patient.
Any claim you publish must carry this statement where a reader will see it: These statements have not been evaluated by the Food and Drug Administration. This product is not intended to diagnose, treat, cure, or prevent any disease.
If we ask you to correct or remove a claim, do it within five business days.
14Our brand and materials
While your account is open and in good standing, we grant you a limited, non-exclusive, revocable, non-transferable license to use the Hydronate name, logo, and product images to market the product you have bought from us. Use them as supplied, without altering them.
You may not register or use any domain name, social media handle, business name, or app name that contains our marks or a confusingly similar variation, and you may not bid on our brand terms in paid search. Everything in the clinical packet remains ours.
This license ends the moment your account does.
15Returns
The 90-Day Guarantee we offer direct customers does not apply to wholesale orders. Wholesale orders are final.
We will replace or refund product that arrives damaged, short, incorrect, or defective, provided you report it within seven days of delivery. Outside that, we accept a return only if we have agreed to it in writing beforehand, and only for unopened product in resalable condition within ninety days of purchase; a restocking fee may apply and return shipping is yours.
We do not accept returns of product that has been opened, relabeled, stored outside the label conditions, or bought from anyone other than us.
16Confidentiality
Your pricing, the volume tiers, and anything in the clinical packet marked confidential are confidential. Do not share them outside your practice, and do not publish them.
This does not cover anything that is already public through no fault of yours, and it does not stop you disclosing something a law or a court requires you to disclose.
17Suspension and termination
Either of us can end this agreement at any time, for any reason, with thirty days' written notice by email.
We can suspend or terminate your account immediately, without notice, if you breach the minimum advertised price section, the resale channel section, or the product condition section; if your license lapses or is restricted; if a payment is reversed; or if we reasonably believe you are diverting product.
When the account ends: any order already accepted and paid for will still ship, your license to use our brand assets ends immediately, and you must stop holding yourself out as an authorized Hydronate practitioner. The confidentiality, liability, and governing-law sections survive.
18Warranty, liability and indemnity
We warrant that product we ship you is authentic, is within its expiry date on dispatch, and was manufactured in a facility operating under current good manufacturing practices. That is the only warranty we give. Everything else that might otherwise be implied — merchantability, fitness for a particular purpose — is excluded to the extent the law allows.
Neither of us is liable to the other for indirect, incidental, special, or consequential losses, or for lost profits. Our total liability to you for any claim is capped at what you paid us for the product the claim relates to.
You will indemnify us against claims arising from what you say about the product, how you store or handle it, advice you give a patient, or your breach of this agreement. We will indemnify you against a claim that the product as supplied by us infringes someone's intellectual property.
Nothing here limits liability that cannot be limited by law.
19Changes to these terms
We can change these terms. The current version always lives at this address, with the date it was last updated at the top. If a change materially affects your pricing, your channel restrictions, or your liability, we will email you at least thirty days before it takes effect.
Placing an order after a change takes effect means you accept the changed terms. If you do not accept them, stop ordering and tell us — we will close the account without penalty.
20Governing law and disputes
This agreement is governed by the law of the State of Wyoming, together with the law of the United States, without regard to conflict-of-law rules.
You and Hydronate agree to the exclusive jurisdiction of the state courts sitting in Teton County, Wyoming, and of the United States District Court for the District of Wyoming. This is a commercial agreement between businesses, and the consumer arbitration provisions in our general Terms of Service do not apply to it.
Before filing anything, email us and give us thirty days to sort it out. Most of this is fixable in one conversation.
21The rest
This agreement, together with the pricing shown in your account and the general Terms of Service, is the whole agreement between us about your professional account, and it replaces anything said before it, including anything said in a sales conversation.
You may not assign it without our written consent; we may assign it to a successor to our business. If a court finds part of it unenforceable, the rest still stands. If we do not enforce something straight away, we have not given up the right to enforce it later. Neither of us is the other's agent, partner, employee, or joint venturer.
